Terms and Conditions of the Agreement

1.         Services to be provided by BIZCOM

1.1        Standard services package

(a)         E-mailers

During the Agreement Period, BIZCOM will forward up to 2 Electronic Mailers to the SMU students, faculty, staff and members of the SMU Alumni Association to inform the undergraduates, faculty, and staff as well as alumni population of the promotions offered by the Participating Merchant.  Requests by the Participating Merchant for Electronic Mailers shall be sent by electronic mail to sales@univantage.com.sg, stating the preferred dates for the distribution of the Electronic Mailer, not later than 1 week prior to the relevant preferred distribution date.  A copy/template of the Electronic Mailer must be attached to the request. All Electronic Mailers must not exceed 200 kilobytes.

(b)        Website

During the Agreement Period, BIZCOM will allow the Participating Merchant to place a standard listing on its website at www.univantage.com.sg.  

All graphics provided by the Participating Merchant must not exceed 500 kilobytes in total. Standard details, logo, write-ups and graphics will be provided by the Participating Merchant. BIZCOM will have the final decision on the layout of the webpage except that BIZCOM must not make any changes to the details of the Participating Merchant’s promotion, logo, write-ups or graphics provided.

(c)         Monthly e-Newsletter

During the Agreement Period, BIZCOM will provide the Participating Merchant with listing on its monthly e-Newsletters. These are sent via electronic mail to the SMU student, faculty, staff and members of the SMU Alumni Association. Merchants chosen to be listed per month are at Uni+Vantage’s discretion.  

(d)        Circulars

During the Agreement Period, BIZCOM will provide the Participating Merchant with listing in its circulars which are printed and circulated free to all SMU students, faculty, staff and members of the Alumni Association twice per semester. 

(e)         Decals

During the Agreement Period, BIZCOM will provide the Participating Merchant with a maximum of 3 decals to be placed at its branches.

(f)         Charges for standard services package

The charges payable by the Participating Merchant for the standard services package, comprising of the electronic mailers, website advertisements, circulars and decals described in the preceding clauses, shall be S$50.  The Participating Merchant shall make payment of the said S$50 by cheque payable to “Singapore Management University” upon the signing of this Agreement.
1.2        Optional additional services

(a)         The Participating Merchant may, during the Agreement Period, opt for the additional services as described below.   The charges for such additional services are detailed below and are payable by the Participating Merchant within 1 week of its ordering.  If the Participating Merchant wishes to opt for any such additional services, it must complete the form in Annex A hereto and submit the same to BIZCOM for processing.

(b)        Additional E-mailers

Each subsequent E-mailer in addition to the 2 provided with the standard package will cost $50, up to a maximum of 2 due to capacity constraints.

(c)         Additional Website Advertisement

Side ads in participating merchant's webpage

Requests by the Participating Merchant for additional advertisements to be placed on the website shall be sent by electronic mail to sales@univantage.com.sg, stating the start and end date of the advertisement.  A copy/template of the advertisement must be attached to the request. Requests for additional advertisements on the website must be made at least 10 days in advance of the advertisement start date.

All graphics provided by the Participating Merchant must not exceed 500 kilobytes in total. BIZCOM will have the final decision on the layout of the webpage except that BIZCOM must not make any changes to the details of the Participating Merchant’s promotion, logo, write-ups or graphics provided.

(d)        Featured Merchant of the Month

The Participating Merchant can request to be the featured merchant of the month on the Uni+Vantage monthly e-Newsletter at $50 for an advertising space of 350 (width) by 300 (height) pixels will be provided.

(e)         Monthly Contests

The Participating Merchant can also request to conduct contests on the Uni+Vantage website on a monthly basis, sponsoring attractive prizes for SMU student, faculty, staff and members of the SMU Alumni Association to win. This creates a demand for the merchant’s products and services as the participants look forward to winning the prizes in anticipation.

            This channel of marketing will be charged according to the number of E-mailers the Participating Merchant wishes to purchase per month of contest. Prices are as follows:

(f)         Decals

Additional decals can be requested at a price of S$3 each.

(g)        Ad-hoc E-mailers (For non-participating merchants only)

Every 2 E-mailers will cost the non-participating merchant $150. The reason for such a pricing is due to the fact that the standard package has been discounted heavily in view of the privileges enjoyed by the SMU population.

3.         Legal Issues

3.1        Parties legally bound by this Agreement
Under the memorandum of understanding between the Singapore Management University Alumni Club
and the Singapore Management University Uni+Vantage, the SMU Alumni Association will be the representative of Uni+Vantage in entering into agreements with external merchants. Hence, this agreement is hereby entered by the participating merchant with the SMU Alumni Association on the behalf of Uni+Vantage.

 3.2       Withdrawal & Breach of Agreement
In the event that a participating merchant wishes to terminate the Agreement before the expiration of this Agreement, the participating merchant will have to inform Business Committee (BIZCOM) in writing 1 month in advance. Fees that were already paid or are payable before the termination of the Agreement will be automatically forfeited or continue to be payable, respectively.

3.3        Changes to Agreement
Any changes to this Agreement must be made in writing and acknowledged by both parties in signature.

3.4        Intellectual Property
“Uni+Vantage” is the intellectual property of the Business Committee (BIZCOM). The images, color scheme, design, artwork and potential derivative works associated with the Student Card Scheme may not be used by any party in any way without the prior permission in writing of the owner of such intellectual property.

3.5        Amendments to Agreement
This agreement is subject to changes made by Uni+Vantage. Major changes will be announced to participating merchants via electronic mail or SingPost. Participating merchants are advised to visit http://www.univantage.com.sg/ periodically for the latest set of terms and conditions.
